The Board of Directors met on the 30th October 2004 to take on records the unaudited financial results for the quarter ended 30th September 2004. The same has been reviews by the Auditors of the company and are available in the Financial Results Section.

Also, Mr I.M.Kanga has stepped out from his Chairmanship of the company and as recommended by all the Board Members, Mr Mofatraj P.Munot will lead your company as its new Chairman.

The Board of Directors thanked Mr I.M.Kanga for his invaluable contribution in the growth of the company since its inception, and look forward to the dynamic leadership and vision of Mr M.P.Munot to take the company to greater heights.

Kalpataru Power Transmission Ltd (KPTL), a part of well diversified Kalpataru Group is forging a strategic alliance with JMC Projects (India) Ltd by acquiring upto 40.5% shares of JMC Projects India Ltd at a price of Rs 40/- per share from the existing Promoters, such that their eventual holding along with shares acquired through the open offer or otherwise will be atleast 51% of the equity of JMC Projects ( India ) Ltd.

The ultimate objective is to make JMC a subsidiary of KPTL and along with the existing Promoters control the company. The same was approved at the Board Meeting of both the companies today.

The day to day operational management will continue to be run under the dynamic leadership of Mr Hemant Modi as the Managing Director and Mr Suhas Joshi as Joint Managing Director.

JMC Projects India Ltd is one of the leading players in the field of Civil construction of buildings and industrial structures and infrastructure projects like roads, bridges etc all over India with a track record of over more than two decades and well known for its high quality and timeliness of deliveries and high customer satisfaction. It is a public limited company based in Ahmedabad and promoted by Mr Hemant Modi and Mr Suhas Joshi.

For the Year ending 2004, the gross revenue of JMC was approx Rs 185 Crores which is further expected to grow in the coming years. It has a well maintained fleet of plant and machineries, multiple offices and has over 750 skilled and well trained manpower. The current order booking is in excess of Rs 300 Crores.

Kalpataru Power Transmission Ltd is a public listed company based in Gandhi Nagar with a turnover of Rs 362 Crores in March 2004 and one of the leading Global players in the field of EPC Contracting for Power Transmission Lines (TL). It has executed over approx 6200 Kms of extra high voltage (EHV) lines upto 800 Kv in India and overseas for Utilities such as Power Grid Corporation of India and State Electricity Boards etc. The company has executed turnkey transmission projects in Algeria, Turkey, and Zambia etc.

KPTL belongs to the Kalpataru Group promoted by Mr Mofatraj Munot , based in Mumbai which is one of the leading Real Estate / Property Developer since over 35 years. Kalpataru Constructions has executed landmark residential projects in Mumbai / Pune and is amongst the leading players in the Mumbai Residential Sector. Currently, it is executing various residential, commercial, shopping mall projects in excess of 1.5 Million Sq ft. The Kalpataru Group has interests in International Trading, Power Generation, Office Stationery etc. The current year will see the Kalpataru Group’s turnover cross Rs 1000 Crores with over 2000 employees.

This strategic alliance of JMC and KPTL would entail tremendous benefits in terms of future business growth, given the multitude of opportunities in the infrastructure and civil construction sector in the coming decades. The Board Of Directors of Kalpataru Power Transmission Ltd announced their Annual Results for the year ended March 2004 with an increase in annual Revenue’s of Rs 3.6 Billion (USD 80 Million) as against Rs 2.7 Billion showing healthy growth of 34%. The Profit Before Tax (PBT) increased by 48% to Rs 183 Million ( USD 4 Million) whilst the Profit After Tax increased by 58% to Rs 141 Million. The Company has EPS of Rs 13 per share.

Other News

Transmission Line Division
Also the company achieved its highest ever production during the year at 48,000 MT as against 46,977MT in the previous year. Operating at this high level of production places the company amongst the largest Tower Fabricators in the world, besides leading to cost efficiencies and economies of scale.

The company is progressing well in the execution of the 400 KV Rihand and 400 KV Tala-Siliguri jobs, covering over 1300 kms. Also the turnkey job of 300kms of 400 kv from Jaipur-Merta-Jodhpur were completed within schedule.

PowerGrid’s ambitious plan of building the National Grid helped the order book with award of several domestic contracts. The present order booking is more than Rs. 4.5 Billion (over 60,000 MT of supply), which surpasses the previous best for the company. These include the 400 KV lines from Siliguri-Purnea, Agra-Jaipur, Sipat-Seoni (all from PowerGrid), Purlia-Durgapur (WBSEB) etc. Many more bids, valued at over Rs 4 Billion, where the company is well placed, are expected to materialize in the next few months. Majority of the order booking comprises price variable (PV) contracts, thereby mitigating the impact of steel price rises.

After the successful completion of turnkey jobs in Algeria and Turkey, the company was awarded another turnkey job of 190 Km for a 330 KV line of Luano -Kansanshi worth over USD 12 Million by Zesco Limited, Zambia, which is progressing well. Company is constantly exploring overseas markets for further jobs.

The company is investing approx Rs 100 Million towards purchase of new Tension Stringing Equipments, Tools & Tackles, Office Block and streamlining the material handling.

Real Estate Division
The company has received Occupancy Certificate for all floors of the first 23 storeyed building called “Kalpataru Habitat” at Parel, Mumbai. Sales in the Project are progressing well, helped by the overall positive sentiment in the Mumbai’s Real estate markets. The construction work of second building is progressing well, which is expected to be completed by March’ 05. The company’s investment in the Project will reduce substantially in the coming year.

Biomass Energy Division
The Biomass based 7.8 MW power plant at Padampur, Sri Ganganagar District (Rajasthan), was commissioned and generating power from August’03 onwards. It has generated over 20 million units for 2003-04.

New Initiatives
Our Company has been a successful EPC contracting company in High Voltage Transmission lines (upto 400/500 KV) and given the growth in Infrastructure Sector expected in the coming few years and building upon the company’s strengths, the company plans to replicate its success by diversifying in other fields of Infrastructure and Contracting.
